This Web Hosting Services Agreement (“Agreement”) is entered into by and between Wynterprise Premium Hosting, hereinafter referred to as “Provider,” and The Client, hereinafter referred to as “Client,” collectively referred to as “Parties.”

Services Provided:

• Free AlphaSSL ($99/yr value)
• Domain Name Security
• Nightly Backups
• CDN
• Managed WordPress Database and Plugin Updates Monthly and On Demand 
• Built-in Caching
• 300% Green Energy Match
• 1 Tree Planted
• On-demand Backups
• Technical Support
• Object Caching (Memcached & Redis)

Total: $300 Per Year or $30 per month

Provider agrees to provide Client with web hosting services as described in the selected plan outlined in the “services” section, attached hereto and incorporated by reference. These services include hosting the Client’s website, data storage, technical support, and related services.

2. Term

This Agreement shall commence on the Effective Date as defined in “services” and shall continue for the duration of the selected plan, unless terminated earlier in accordance with the terms of this Agreement.

3. Payment

Client agrees to pay the fees associated with the selected plan as outlined in “services”. Payment shall be made in accordance with the billing terms specified in “services”. In case of late payment, Provider reserves the right to suspend or terminate services until payment is received.

4. Intellectual Property

Client retains all intellectual property rights to the content and data provided to Provider for hosting purposes. Provider shall not claim any ownership over the Client’s intellectual property.

5. Data Security

Provider agrees to take reasonable measures to safeguard the data hosted on its servers. However, the Client acknowledges that the Provider shall not be liable for any loss or unauthorized access to data.

6. Support

Provider agrees to provide technical support as outlined in the selected plan. Support inquiries shall be directed to Red Gator Digital – info@redgatordigital.com

7. Termination

Either Party may terminate this Agreement in the event of a material breach by the other Party. Termination shall be effective upon written notice provided by the non-breaching Party. Client also agrees to give a 30 day notice upon termination, Client shall be responsible for migrating its data and content to an alternative hosting provider. There are no full, partial or prorated refunds after 15 business days. 

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of FL, without regard to its conflict of laws principles.

9. Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and representations, whether oral or written.

IN WITNESS WHEREOF, the Parties hereto have executed this Web Hosting Services Agreement as of the Effective Date.
